LEXX & SOPHY offers professional advice and services to clients on commercial transactions; for example, we not only advise clients on the appropriate type of company to register for a particular type of business but also assist them to register/structure the company in accordance with the provisions/requirements. We have represented various clients in negotiating and preparing memoranda of understanding, shareholders’ agreements and other pre-incorporation contracts, the formation and structuring of corporate entities, advising on and preparation of assets sale and acquisition contracts, transactions involving company restructuring or mergers of companies, sale or transfer of shares held by foreign and/or local entities.

LEXX & SOPHY provides company secretarial services, ensuring among other things that the statutory registers and other records are properly maintained, requisite returns and notices are filed promptly at the Corporate Affairs Commission as required by the provisions of the Companies and Allied Matters Act, 2004. We also advise on and cover statutory and other meetings for clients, ensuring compliance with the provisions of the Act.

LEXX & SOPHY has experience representing foreign companies and individuals wishing to establish business in Nigeria. We conduct due diligence investigations, we render services on company incorporation and registration, procurement of required operating licenses and approvals (for example approval for exemption from incorporation, i.e. where foreign entities that do not desire to establish a long-term presence in Nigeria are involved in specific government projects), advising on and procurement of all relevant immigration approvals (e.g. business permits, temporary work permits, expatriate quota allocations), preparation of such relevant contracts as technical services agreements, management agreements, technology transfer agreements, joint venture agreements, agency, supply, distribution, representation and franchise agreements.
